Regent Global Funds is a Private Offering and its website is in no way intended to sell or solicit a security. In addition, the explanation of its business model is in no way intended to sell or solicit a security. In addition, it is important to note that Regent Global Funds’ participating investors are all accredited investors as per the definition by the U.S. Securities Act Rule 501. If and when Regent Global funds decides to allow a participating investor to invest in said participations, it applies this rule to its participating investors in the following manner:
PARTICIPATIONS ARE BEING OFFERED WITHOUT REGISTRATION, PURSUANT TO CERTAIN EXEMPTIONS UNDER THE ACT, AND PURSUANT TO APPLICABLE EXEMPTIONS FROM STATE SECURITIES LAWS WHICH DEPEND, IN PART, ON THE INVESTMENT INTENT AND QUALIFICATIONS OF PROSPECTIVE INVESTORS. THE PURCHASE OF PARTICIPATIONS INVOLVE A HIGH DEGREE OF RISK AND IS ONLY SUITABLE AS A LONG-TERM INVESTMENT FOR PERSONS OR ENTITIES OF SUBSTANTIAL FINANCIAL MEANS WHO HAVE NO NEED FOR THE SUMS INVESTED AND WHO HAVE SUCH KNOWLEDGE AND EXPERIENCE IN FINANCIAL AND BUSINESS MATTERS THAT THEY ARE CAPABLE OF EVALUATING THE MERITS AND RISKS OF THE PROSPECTIVE INVESTMENT.
Participations will be offered and sold only to persons or entities who meet the definition of an “Accredited Investor,” as defined in Rule 501 of Regulation D adopted pursuant to the Act. Each subscriber must represent, in writing, that he (i) is acquiring a Participation for investment and not with a view toward resale or distribution, and (ii) has, alone or together with his “Purchaser Representative”, as defined in Rule 501 of Regulation D adopted pursuant to the Act, such knowledge and experience in financial and business matters that he is capable of evaluating the merits and risks of investing in a Participation. The following are among the categories of “Accredited Investors”:
(a) the individual investor has a net worth, or a joint net worth with such investor’s spouse, at the time of purchase which exceeds One Million Dollars ($1,000,000); or
(b) the investor had individual income in excess of Two Hundred Thousand Dollars ($200,000) in each of the two (2) years preceding the date of such investor’s subscription, or a joint income with such investor’s spouse in excess of Three Hundred Thousand Dollars ($300,000) in each of those years, and reasonably expects to reach the same income level during the year of such investor’s subscription; or
(c) the investor is included in one of the other categories of Accredited Investor in the Regulation D definition including, but not limited to: certain banks and savings and loan associations, whether acting in their individual or fiduciary capacities, certain insurance companies, federally registered investment companies, business development companies (as defined under the Investment Company Act of 1940), Small Business Investment Companies licensed by the Small Business Administration, any plan maintained by a state, its political subdivisions or any agency or instrumentality of a state or its political subdivisions for the benefit of its employees with total assets exceeding Five Million Dollars ($5,000,000), certain Employee Benefit Plans, including, but not limited to, self-directed plans for which investment decisions are made solely by persons or entities who are Accredited Investors, private business development companies (as defined in the Investment Company Act of 1940), tax exempt organizations (as defined in Section 501(c) of the Internal Revenue Code), certain trusts and corporations with total assets in excess of Five Million Dollars ($5,000,000), entities in which all equity owners are Accredited Investors, and certain Affiliates of the Company.
Each person or entity who desires to subscribe for a Participation pursuant to this Offering will be required to execute a Subscription Agreement. The representations and warranties contained therein to be made by the person will include statements regarding such person’s status as an “Accredited Investor,” and that such person has received, examined, analyzed and reviewed this Memorandum (including, but not limited to, all Exhibits hereto), and has had the opportunity to ask questions of the Company and its representatives.
Information we collect:
Regent Global Funds LLC is adamant about protecting the confidentiality of our clients and customers by securely maintaining the personally identifiable information in our possession. Personally identifiable information includes but is not limited to a client and customer’s name, registration number, address, phone numbers, e-mail address, social security number, birth date and any other information that identifies a particular client or customer and/or financial information about a client or customer. In addition to personal information, we collect site usage information to help in our efforts to continually improve our site. This information is IP address, browser type, the server your computer is logged into, whether you responded to a particular ad, and/or what pages you are visiting on the website. We can only review this information in aggregate for all of our customers.
Cookies
“Cookies” are a type of information that is stored on your hard drive via your web browser. The “cookies” that Regent Global Funds LLC uses do not contain any personal data such as passwords, or even your name or address. Cookies simply aid Regent Global Funds in identifying your session on the site. Information Sharing
Regent Global Funds LLC will only share a client or customer’s personally identifiable and/or financial information with the following persons or business entities: Regent Global Funds LLC officers, employees and independent contractors that need access to this information to perform their duties as authorized by management, lead lenders or service providers that require the information in order to process a particular loan application; financial institutions, hedge funds, pension funds, private equity funds, and potential investors who require the information in order to determine whether to purchase, finance, and/or service a Regent Global Funds LLC mortgage note or loan, or to become a participant in the fund; service providers that assist us in our risk management including but not limited to appraisers, environmental specialists, attorneys, etc..; federal and state regulatory agencies and, a court of appropriate jurisdiction.
In addition to our commitment to protect the personally identifiable information of our clients and customers, we are equally as dedicated to the maintenance and implementation of technologies that enable security precautions and encryption technologies. Our web servers are enabled with SSL technology supporting up to 128 bit encryption, this aids in preventing unauthorized parties from viewing any personally identifiable information after a visitor is logged in using a login and password. Regent Global Funds LLC also ensures that clients and customers personally identifiable and/or financial information in our possession is stored securely in our live databases or storage facilities. We are required by governmental regulatory agencies to maintain records related to loan transactions for a period of time, usually three years. After this time all paper records are securely shredded.
